Start Your LLC in Idaho

FAQs on how to determine Idaho LLC costs

  • The first step to officially forming your Idaho limited liability company (LLC) is to submit your Certificate of Organization to the Secretary of State. There are several things you will need to have figured out before you can submit this document and the one-time filing fee. We can help you start your Idaho limited liability company for $0 plus state fees with our Idaho LLC Formation Service.

  • What does it cost to start a business in Idaho? Here are the necessary ones, but there might be other costs arising from your business’s nature and your individual circumstances.

    Idaho LLC Filing Fee

$101 to $120: The one-time filing fee to submit your Certificate of Organization is $101 online and $120 by mail. These fees are subject to change, so make sure to check with the Idaho Secretary of State.

    Registered Agent Fee

Varies: Technically, you can be your own registered agent in Idaho, but it can make life a little harder. A registered agent must be available during all regular business hours to accept legal and business correspondence. That could really get in the way of vacation or coffee runs, not to mention running your business.

    Annual Report Fee

$0: Unlike most other states, Idaho Annual Reports do not have a filing fee. This report does need to be submitted each year at the end of the month the company was formed. It is important to make sure this report is filed timely and accurately to stay compliant with the state. We can help with our Idaho Annual Report Service.

  • Though Idaho does not have a lot of initial filing fees, the cost to start a business in Idaho might involve some additional fees, depending on your industry and location. Here are some fees to look out for:

    Idaho LLC name reservation

$20: Once you have chosen your LLC name, make sure that you reserve it before someone else registers it. You can do this by filing an Application for Reservation of Legal Entity Name and paying the $20 filing fee. We can also help you with our Idaho Name Reservation Service.

    Doing Business As (DBA) Name

$25: If you choose to use a name that is not your official business name, you may file a Certificate of Assumed Business Name. This will allow you to use a different name that still falls under all Idaho naming guidelines.

    Certificate of Good Standing

$10: A Certificate of Good Standing shows that your business is fully compliant with the state. This document may be required by your business bank and other lending institutions.

    Business Licenses and Permits

Varies: Depending on your specific business location and industry, you may need various business licenses and permits to operate legally. These may be required at the federal, state, or local levels. Be sure to do your research so you don’t miss one of them. You can also use our Business License Report Service to reduce the time and effort you put into figuring out what you need.

    Foreign LLC Registration

$100: If you have an out-of-state company and want to expand to Idaho, you will need to file a Foreign Registration Statement and pay the $100 filing fee.

    Certified Document Copies

$10 plus $0.25 for each page: There may be times that your business needs to present certified copies of your Idaho business documents. You can order these through the Secretary of State.

  • It is always a good idea to stay on top of necessary filings. Your initial business Certificate of Organization will not be processed until the filing fee is paid.

  • If you are unable to pay your initial one-time filing fee for your Certificate of Organization, you can still conduct business as a sole proprietorship or general partnership, but you will not receive the protections of a registered business entity.

Idaho doesn’t charge late fees for failing to file an Annual Report and pay the filing fee, but there is a penalty. If the report isn’t filed within 60 days of the due date, your company may be administratively dissolved.

  • The Idaho LLC filing fee is paid to the Secretary of State.

  • The largest Idaho LLC cost is your Certificate of Organization which is $101 to $120, depending on how you file the document. Also, keep in mind that it is generally $20 more to file anything related to your LLC if you don’t do it online. You may potentially pay more if you have high business license or permit fees.

  • The Idaho government accepts all major credit cards, including Visa, MasterCard, Discover, and American Express. There is a $1.00 non-refundable processing fee for credit or debit card transactions. Make checks and money orders payable to “Idaho Secretary of State.”

How do I form my LLC in Idaho?

Filling out your Idaho LLC Certificate of Organization is the step that officially creates your legal business entity, but there are a lot of other steps.

1. Name your Idaho LLC

Choosing your Idaho limited liability company name is important. Make sure that you adhere to all naming rules. Some of these include:

  • The business name must contain the words “limited liability company” or an approved abbreviation
  • The name has to be distinguishable from other Idaho businesses
  • It cannot contain language that is misleading as to the purpose of the business

We can help you make sure your name is available in Idaho with our Business Name Checker

2. Select a Registered Agent

Your Registered Agent is a necessary part of your business. They will receive all business and legal correspondence, including that from the Secretary of State. You will need to secure a registered agent before filling out your Certificate of Organization. We can help you find an Idaho Registered Agent to fit your needs.

3. File your Certificate of Organization

It is important to gather all the necessary information before submitting your Certificate of Organization to ensure your application is complete. Here are some of the things you should have ready:

  • The name of your Idaho limited liability company
  • The street address of your place of business
  • Your registered agent’s name and contact information
  • Contact information for at least one member/governor of the business
  • Address for future business correspondence
  • Name and signature of the organizer
  • The one-time filing fee

You will want to make sure you provide all the requested information to avoid having to make amendments that could have been avoided.

4. Create an Operating Agreement

Operating Agreements are not required in Idaho but are highly recommended. This document is used to detail how your company will run. Provisions may include management structure, member roles and responsibilities, transfer of ownership, dispute resolution, and more.

If you don’t create an Operating Agreement, your business will have to use state statutes to figure out how things need to run when there is conflict. Get started with our Operating Agreement Template.

5. Obtain an Employer Identification Number (EIN)

Without an EIN you can’t pay taxes or hire employees. Both are pretty important when running a business. Your EIN may also be necessary to open business bank accounts or to acquire business loans. An EIN can be obtained from the IRS, or we can take that off your plate and do it for you with our Employer Identification Number Service.

Stay Legally Compliant

There are so many things to do when starting a business, and it is easy to fall behind. Make sure that you stay compliant with all business regulations to avoid penalties or administrative dissolution of your company. It is also worth noting that over time things change, and you may need to amend your formal business documents. We can help you keep compliant and even make two amendments a year with our Worry-Free Compliance Service
