FAQs on how to determine Nevada LLC costs

  • Starting a business will take time, money, and dedication. We want to help by offering helpful information about filing your Nevada LLC.

  • Here’s a look at some common fees that will go into forming your Nevada LLC.

    Nevada LLC Filing Fee

The filing fee for a Nevada LLC is $436. You’ll have to pay this amount when filing your Articles of Organization with the Nevada Secretary of State.

    Annual Report Fee

An annual report fee for an LLC in Nevada is $150.

    Registered Agent Fee

A registered agent in Nevada runs a charge of $60. You can download the registration form from the Secretary of State’s website.

  • Starting an LLC will run you a few fees, so it’s important to take note of the most common ones.

    Nevada Certificate of Good Standing

In order to verify that your Nevada LLC is legally formed and properly maintained, you’re going to need a Certificate of Good Standing. This will cost you $50, which is not much considering the benefits of getting one:

    • It allows you to do business in another state
    • It helps form relationships with investors and financial institutions
    • It helps you get a business bank account
    • It makes it easier to get licenses and permits
    • And more

Make the small investment and get a CGS so running your Nevada LLC can be easier.

Get a “DBA” Name in Nevada

You should also consider getting a “doing business as” (DBA) name for your Nevada LLC. This is useful if you plan to do business under a name different from your legal one. In Nevada, a DBA is known as a “fictitious firm name.” You’ll have to file one with your county.

    Register a Foreign LLC

If you’re an out-of-state (foreign) LLC and want to do business in Nevada, then you’ll need to register as a foreign LLC. You can do so on the Secretary of State’s website for $75.

Know Which Business Licenses and Permits You’ll Need

As a business owner, you’ll need to be mindful of the many licenses and permits you might need to fill out and apply for. Which ones and how many you’ll have to take care of depends on your location and industry. Be sure to do some research and make a list of which ones you’ll need.

  • Nevada requires that certain fees be paid on time, such as your annual report. In this state, the annual report is due at the end of the LLC’s anniversary month each year. If late, you’ll have to pay a $100 fee and lose your “good standing” status. After a year of being in poor standing, your LLC will be at risk of being dissolved by the state.

Make sure you pay your fees on time.

  • If you can’t pay the necessary fees when filing your Nevada LLC, then your application will be denied.

  • All filing fees and most related costs will be made to the Secretary of State’s office.

  • Since different LLCs have different registration requirements, overall costs might vary. For the most part, a business license fee will be the biggest fee at $200. Other costs that you might run into later on like a merger or termination will cost $350 each.

  • You can conveniently pay for any filing fees by:

    • Check or money order
    • Credit card (VISA, MasterCard, Discover, and American Express)
    • Trust account
  • There are many business entities out there, but LLCs are very popular due to the many benefits they offer. Some of these include:

    • Liability protection
    • Flexible tax requirements
    • A relatively easy startup process compared to other business entities

How do I form my LLC in Nevada?

Starting any type of business in Nevada will take time, but we want to give you some insight on what you need to do.

1. Name Your LLC

Of the many things you’ll have to do when setting up your LLC, naming it might be one of the most important. After all, this is how the public will know you. Consider the following when naming your Nevada LLC.

Nevada’s Business Naming Rules

Other than using inappropriate wording or names that other businesses already have, Nevada has some detailed naming requirements for businesses. The Secretary of State’s website has a page dedicated to words that businesses cannot use in their names.

Check if a Name is Available in Nevada

We can make the process of naming your business easier with our business name checker. You can also reserve a name in the meantime while you get your LLC set up.

2. Choose a Registered Agent

All LLCs in Nevada are legally required to have a registered agent. Here are some things to keep in mind.

What is a Registered Agent?

Registered agents serve as your business’s point of contact. The agent must be available during normal business hours at an official address to accept legal notices addressed to your business. If you don’t appoint a registered agent at the time of filing your LLC, the Secretary of State will reject your application.

Being Your Own Registered Agent

Although you can be your own registered agent in Nevada as long as you’re over 18 and have a valid address, it’s best to choose someone else for this responsibility. After all, if you’re served a legal notice, like a lawsuit, it will be presented to you at your place of business and wouldn’t look good in front of customers and employees.

3. File Your Business’s Articles of Organization

Before your business is ready to open to the public, you’ll first have to file your Articles of Organization in Nevada. You’ll have to do so with the Secretary of State for $75.

4. Draft Your Operating Agreement

Operating agreements aren’t required for LLCs in Nevada, but you should consider drafting one anyway.

Operating Agreement Benefits

You can enjoy the following benefits with an operating agreement:

  • Listing the powers and benefits of each LLC member
  • Protecting your LLC’s liability status
  • Clarifying any verbal agreements between members
  • Creating internal transparency

There are more benefits, but these are just a few popular ones.

5. Get an Employer Identification Number (EIN)

Another thing to have for your LLC is an Employer Identification Number (EIN). An EIN for a business is like a social security number for a person: it identifies your LLC to the IRS for tax purposes.

An EIN has its benefits, like making it easier to get a business banking account. We have an EIN service that can secure you one fast. You can get one from the IRS as well.

Check for Any Annual Requirements

Nevada requires a few things to be done on an annual basis in order for a business to remain compliant.

Taxes

If you own an LLC in Nevada, then you’re in luck because the state does not impose a corporation income tax. This means that for most LLCs, like those that elect to be taxed as a corporation, no state income taxes will need to be paid. On top of that, since the state also has no personal income tax, an LLC’s members won’t owe state taxes on income they’ve earned from the business.

Avoiding Fees

Be mindful of anything you have due through the year to keep your business compliant. One of these is your annual report. You’ll need to submit this every year for your Nevada LLC, and being late means having to pay a $100 fee. We offer an easy-to-use Annual Report Service to help you.

Remain Legally Compliant

As your business grows, you’ll take on more employees, maybe add more members, or have to relocate/expand. Any changes that your LLC undergoes will need to be documented.

LLC Amendments

Changes that happen within your company or its structure will need to be amended in your Articles of Organization when applicable. Learn more about Nevada LLC amendments

Ensure You’re Compliant

In order to be in good standing with the state, you’ll need to remain compliant. We offer a Worry-Free Compliance Service. It offers two amendments each year.
