  • While filing your Articles of Organization is certainly an important step in the process, this isn’t the only LLC cost you might have to pay. Here are a few other LLC costs and fees to be aware of as you get your Arizona LLC up and running.

    Arizona LLC Filing Fee

    $50: The basic filing fee for submitting your Arizona Articles of Organization is currently $50.

    Expedited Processing

    $85: In some scenarios, you may decide you need your Articles of Organization to be processed more quickly than standard processing times allow. Fortunately, the State of Arizona allows you to do this for a small fee. The total fee for expedited processing of your Articles of Organization is $85.

    Application to Reserve LLC Name

    $10: If you’re not quite ready to file your LLC formation documents, but you have the perfect business name in mind, you have the option to reserve it through an Application to Reserve LLC Name form. That way, you can prevent others from taking that name for a period of up to 120 days.

    The standard fee for an LLC name reservation is $10. However, you can obtain expedited processing for a total fee of $45.

  • It’s important to remember that forming your LLC is only the beginning. There may be several other fees and costs that come up in the course of owning and operating your business. Here are a few others to look out for.

    Certificate of Compliance

    Many businesses will end up needing a Certificate of Good Standing at some point or another. A Certificate of Good Standing is a document that certifies that an LLC has met all legal requirements and is currently in good standing to operate within the state.

    While not all businesses will need one, a Certificate of Good Standing is typically required to:

    • Secure funding and obtain business loans
    • Conduct business outside the State of Arizona
    • Obtain business insurance
    • Open business bank accounts

    The fee to obtain a Certificate of Compliance in Arizona is $10. Expedited processing is also available for an additional $35 fee.

    Statement of Change

    Sometimes, after setting up your business, changes may arise. When they do, you may need to formally notify the state.

    For example, if you make a change to your principal office address or statutory agent, you will need to file what’s called an LLC Statement of Change of Principal Address or Statutory Agent. Though this may seem like a minor information change, it is crucial to make timely updates to prevent your business from falling out of compliance. The fee for filing this LLC Statement of Change is $5, or $40 if you seek expedited processing.

    Business Licensing

    Depending on the type of business you plan to operate, you may also need to obtain certain business licenses and permits. The specific requirements for your particular business will depend on a variety of factors.

  • Yes. Filing your forms and making timely payments are essential to keeping your business in compliance. Thus, failure to pay your fees on time can result in penalties that may include:

    • Late fees
    • Interest charges
    • Sanctions
    • Administrative dissolution of your LLC

  • Non-payment of your filing fee to the Arizona government can result in several negative consequences for your business. Most importantly, failure to file and pay on time can even result in the involuntary dissolution of your LLC.

    When this happens, you may need to pay an Application for Reinstatement, which requires an additional $100 regular processing fee or a $135 fee for expedited processing. 

  • All LLC business formation filings must be submitted to the Arizona Corporation Commission, Corporations Division.

  • In most cases, the largest LLC fee you’ll have to pay is $50 to file your Articles of Organization, or $85 if you choose expedited processing.

    However, if you are a foreign LLC (one formed outside of Arizona), you will have to file a Foreign Registration Statement before transacting business within the state. The fee for a Foreign Registration Statement is $150 for regular processing and $185 for expedited processing. 

  • The State of Arizona accepts cash, check, and credit card as methods of payment for filing fees. However, only Visa and MasterCard are accepted for credit card payments.

How do I form my LLC in Arizona?

1. Name your LLC

As you form your LLC, one of the first things you’ll decide on is a name for the business. However, before you set anything in stone, make sure that your desired name complies with state business naming requirements. 

For example, your LLC entity name must: 

  • Contain the words “limited liability company” or “limited company” or the abbreviations “L.L.C.,” “L.C.,” “LLC,” or “LC’
  • Be distinguishable on the records of the commission or the secretary of state from any other entity operating within the state
  • Not contain the words “association,” “corporation,” “incorporated,” or an abbreviation of those words

2. Select a Registered Agent

One of the most important things you’ll need to select for your business is a statutory agent, also referred to as a registered agent. 

All LLCs conducting business within Arizona must designate and maintain a statutory agent within the state. Additionally, this statutory agent must also sign a Statutory Agent Acceptance form consenting to the appointment. 

A statutory agent is the individual or entity responsible for accepting service of process, legal notices, or demands on behalf of the business. Thus, it’s important to designate someone reliable and trustworthy. 

3. File your LLC’s Articles of Organization

Once you have all the information you’ll need, you’re ready to complete and file your Articles of Organization. 

You can complete your filing by mail, fax, in-person, or electronically.

4. Create an Operating Agreement

Another thing to consider is creating an Operating Agreement. While not required for any LLC, having one in place can be a great benefit to the business overall. This is because an Operating Agreement allows the LLC owners/members to clearly delineate important information about the business’s operations, responsibilities, and roles of its members. 

For example, Operating Agreements for Arizona LLCs can govern things such as:

  • Relations among the members and between the members and the LLC
  • The right and duties of someone acting in the capacity of manager
  • The activities and affairs of the company
  • Means and conditions of amending the agreement

5. Get an EIN

Another important thing to do as you form your LLC is to obtain an Employer Identification Number (EIN). 

An EIN is essentially a social security number for your business entity. This EIN allows your business to pay its taxes. However, you may also need one to do things, such as: 

  • Pay employees
  • Open business bank accounts
  • Obtain business credit cards

6. Meet the Arizona LLC publication requirement

New LLCs must publish a notice of LLC formation in one of Arizona’s approved newspapers in three consecutive publications, starting within 60 days of receiving notice from the Arizona Corporation Commission.

Once you’ve taken all of these steps, you will have successfully set up your Arizona LLC. Importantly, however, the work doesn’t necessarily end there. 

Unlike in other states, Arizona LLCs do not have to file any annual reports. Nevertheless, it’s crucial that you keep your business information up to date. Failure to update your information with the state as you make changes can result in your business falling out of compliance.
