  • How much it costs to start an LLC in Georgia:

    Articles of Organization

    $100: The Georgia LLC filing fee is $100. You’ll pay this fee when you file your Articles of Organization.

    Note: If you form your Georgia LLC online, you will be prompted to set up an “eCorp” account on the Secretary of State’s Georgia Corporations Division website. You can log into this account to maintain your LLC details and check your LLC’s status.

  • Once you’ve filed your Articles of Organization, there are a few other fees you need to consider.

    Annual Registration

    Your Georgia annual registration costs $50. 

    Georgia LLCs are required to file an annual registration every year. Referred to as an annual report in most other states, this filing is due between January 1 and April 1 of the year following the calendar year in which your business was formed. It is then due by April 1 of every subsequent year. 

    Your Georgia annual registration can be filed in one of the following 3 ways:

    • Via one-click registration at the Secretary of State’s Georgia Corporations Division website.
      • Note: One-click registration can be completed without having to sign into your eCorp account. This option is only for LLCs that are current on their registration fees and don’t need to make any changes. 
    • Online at the aforementioned Georgia Corporations Division website by signing into your eCorp account.
    • By mail following the instructions on the Georgia Corporations Division website. 
      • If filing by mail, you will need to pay a $10 service charge in addition to the $50 annual registration fee. 
      • Your envelope must be postmarked no later than April 1 of the current year. Otherwise, you will incur a $25 late fee.

    Georgia LLC Name Reservation 

    Reserving a name for your Georgia LLC costs $25. You can reserve your name online or by filing a “Name Reservation Request” form. 

    DBA Name in Georgia

    Want to “go by” a different name in public than your LLC’s legal name? You can also reserve a fictitious name for the same fee ($25).

    Certificate of Existence

    The fee for a Georgia Certificate of Existence is $10 online or $20 by mail.

    Also known as a Certificate of Good Standing in other states, a Certificate of Existence certifies that your LLC meets all Georgia requirements and is in compliance. While this document may not be required to operate your business, you will likely need it to:

    • Register your company to do business in another state.
    • Secure a new line of credit or other funding.
    • Open a new business bank account or corporate credit card.
    • Purchase business insurance.
    • Form a contract with the state or another business.
    • Sell or transfer some or all of your company.
    • Renew certain permits or licenses.

    Registered Agent

    Every Georgia LLC is required to have a registered agent. You can act as your own registered agent for free, or you can have someone serve as your registered agent.

    Amended Annual Registration

    If you make a mistake on your annual registration and need to file an amended annual registration, the filing fee is $20 (or $30 if filing by mail). 

    Foreign LLCs

    If you already have an LLC in another state and want to expand your business to Georgia, you will need a “Certificate of Authority to Transact Business in Georgia.” The filing fee for this document is $225 if filed online, and $235 if filed by mail.

  • Yes. If you file late, your filing will be subject to late fees. The penalty for filing your annual registration late is $25. 

  • Failure to file and pay requisite fees on time can result in penalty fees and in some cases administrative dissolution of your business entity.

  • Fees for forming your Georgia business will be paid to the Corporations Division of the Office of the Secretary of State.

  • The largest business filing fee you will have to pay is typically for filing the articles of organization for your business. However, not all Georgia businesses will need to file one of these documents.

  • The Georgia Secretary of State doesn’t accept cash for filing fee payments. However, it does accept payment by check, certified bank check, money order, or credit card.

How do I form my LLC in Georgia?

1. Name your LLC

Here comes the fun part: naming your LLC! Here are a few things to consider when doing this.

There are a few things you’ll need to keep in mind when naming your LLC:

  • The name cannot already be used by another business.
  • The name must meet the state’s requirements. For example, it can’t imply that it’s a government entity or connected with one.
  • The name can’t contain restricted words or language. 
  • You’ll need written approval to use certain words, such as those about education, insurance, and banking.

2. Choose a registered agent

What is a registered agent? 

A registered agent must be available during normal business hours, and their main responsibility is to accept legal notices, like lawsuits. The registered agent must be an individual who resides in Georgia and whose business address matches the address of the registered office.

In Georgia, you can be your own registered agent but this might not be a good choice since legal notices will be delivered in person to your place of business. With a registered agent, notices will be delivered to their address.

A registered agent service guarantees availability at their given address in order to handle any requirements on your behalf. Although registered agents require a fee for their services, it’s something you should consider as a business owner. 

3. File your Articles of Organization

Before you’re legally allowed to do business in Georgia as an LLC, you’ll need to file your Articles of Organization. You’ll need to file with the Georgia Secretary of State online for a fee of $100. 

4. Create an operating agreement

We highly suggest that you draft an operating agreement for your Georgia LLC. Georgia doesn’t require LLCs to have operating agreements, but it’s best to draft one anyway since these documents have many benefits.

5. Get an EIN

Along with an operating agreement, you should also consider getting an Employer Identification Number (EIN). An EIN registers your LLC with the federal government. They’re a legal requirement for LLCs with employees or multiple members.
