If you want to use a different name to market a new product, service, or business location, then using a DBA or “doing business as” name registration is the way to go. Foreign LLC

If you already have an LLC in another state but want to expand your business to Oregon, then you need to file an Application for Authority. Doing so registers the business as a foreign entity and eliminates the need to incorporate a new entity..

The cost to file a foreign LLC in Oregon is $275.

    Business Licenses and Permits

Your company may need different licenses and permits at the federal, state, or local level to legally open your doors in Oregon. The number of these licenses and permits, and their total cost, will depend upon the type of business you run.

  • If you can’t pay the fee for whatever form you’re filing, then the Oregon Secretary of State’s office will not accept it.

  • The state of Oregon will receive your fees through the Secretary of State’s office.

  • The biggest fee you’ll see when starting your company will be the $100 filing fee for the Articles of Organization.

  • The most common and easiest method of filing documents is online, and the fees can be paid through a credit or debit card. However, if filing the forms online is not possible, then they can be filed along with a check or money order.

How do I form my LLC in Oregon?

1. Name Your LLC

What’s in a name? When first starting your business, a good name is extremely important. Oregon has a few rules that you must follow, however:

  • Contain the words or abbreviations “limited liability company,” “L.L.C.,” or “LLC”
  • Not include words that suggest your LLC has an unauthorized purpose
  • Be different from other names on file with the Secretary of State

2. Choose a Registered Agent

Every company registered to do business in Oregon is required to have a registered agent. A registered agent is there to officially accept service of legal papers such as lawsuits and other legal documents.

Registered Agent Options

You or another person can serve as your own registered agent as long as you have a physical street address in Oregon, but it might be a good idea to have someone else represent your company because the registered agent has to be open and available for service during normal business hours.

3. File Your Articles of Organization

The Articles of Organization is the form that will officially create your LLC with the state of Oregon. You will have to pay a $100 filing fee. The filing can be done online at the Oregon Secretary of State website or via mail, or in person.

4. Create an Operating Agreement

Although Oregon doesn’t require LLCs to have an operating agreement, it’s still a good idea to create one.

Operating Agreement Benefits

Operating agreements:

  • A document that all owners agree upon and is legally binding, which details the rules and procedures for operating the business.
  • Protect personal assets of the LLC owners and outline ownership percentages, responsibilities, voting power, and a succession plan if an owner decides to leave the business.
  • Creates a procedure for resolving any conflicts between the owners.

To make it easy on you, you can use our Operating Agreement template to quickly draft an agreement so you can spend more time running your business and less time on paperwork.

5. Get an EIN

An Employer Identification Number (EIN) is an identification number for your company and officially registers your company with the federal government in order to pay taxes. EINs are also necessary when opening up a checking account or applying for business loans.

Apply for an EIN on the IRS website, or use our EIN service when you form your LLC, and we can make sure it’s done correctly and on time.

Check Oregon Annual Requirements

Once you’ve set up your LLC, don’t forget to mark on your calendar the annual requirements from the state.

Annual Renewal

Oregon requires that you renew your LLC every year on its anniversary date. The renewal fee is $100, and you have to confirm with the state that your LLC is still an active business and confirm your current business address.

Avoid Fees

To keep up to date on the various annual forms you have to file, use our Annual Report Service to receive important notifications and help to file your annual reports on time, and avoid any late fees.
