    Nebraska LLC Filing Fee

    $102– $110: A Certificate of Organization costs $102 to file online and $110 to file in person or by mail. The Application for Reserved Name form can be filed for only $30.

    Biennial Reports

    $10-$13: In contrast to most other states, Nebraska requires LLCs to file a compliance report every two years. These biennial reports cost $10 to file and are due by April 1. Failing to file by that time will result in a late fee. If you don’t file a Biennial report by June 1, the state may dissolve your LLC.

    Registered Agent

    Free: Under Nebraska law, almost any individual or company can serve as a registered agent. In fact, you could be your own registered agent, and it wouldn’t cost you a cent. But there’s a downside to that approach. Specifically, you’d have to fulfill a registered agent’s duties. As a registered agent, you would have to be available at your LLC’s principal address during all regular business hours.     Certificate of Authority (Foreign LLC Registration)

    A Certificate of Authority registers a “foreign” LLC in Nebraska. For our purposes, a “foreign” LLC is any LLC located in another state. When foreign LLCs expand into Nebraska, they file Certificates of Authority instead of incorporating as a new, domestic LLC. The certificate shows that your LLC is complying with all state laws. Filing a Certificate of Authority will cost $110 unless you file online, which costs $100.

    Trade Name

    A trade name in Nebraska serves as an alias for your business. You can use a trade name with your customers and the public while maintaining your official name on the state’s documents. Some states refer to these trade names as “DBA” (or “Doing Business As”) names or “Assumed Names.”

    You can submit an Application for Trade Name to lock in a good trade name for your LLC. The filing fee is $110 if you file by mail or in person and $102 if you file online.

    Statement of Change

    As time goes on, you might need to make a change to your business. If you’re changing your office or registered agent, the best way to inform the state government of the change is with a Statement of Change. The filing fee for a Statement of Change is $30 if filing by mail or in person and $25 if filing online. If you’re forming a series LLC, the document is $70 plus an additional $50 for each series member.

How do I form my LLC in Nebraska?

1. Name your LLC 

You can’t do anything with your business until you have a name. Because your name will be your business’s introduction to your customers, take the time to think of a few great potential names. Once you have a few names in mind, check to see whether they are available by sending a written request to the Secretary of State’s office. Their email is sos.corp@nebraska.gov. Assuming your name is available, make sure that it meets the following requirements: 

  • The name must not be the same or “deceptively similar” to another business in the Secretary of State’s records
  • The name must include the words “limited liability company,” “limited company” or the abbreviations “L.L.C.,” “L.C,” “LLC,” or “LC.”

Once you’ve met these requirements, you have the option to lock in your name by filing an Application for a Reserved Limited Liability Company Name with the Secretary of State.

2. Select a Registered Agent

Registered agents are a vital part of a successful LLC. They serve as the LLC’s designated point of contact for all legal and financial documents. Anyone with a physical address in the state can serve as a registered agent. 4. Create an Operating Agreement   

It’s always a great idea for LLC owners to draft a Nebraska Operating Agreement. Operating Agreements give you and your partners the opportunity to set your own rules of daily operation. You can touch on a range of topics in your Operating Agreement, including:

5. Get an EIN

There’s no way to get around paying taxes. Although LLCs are generally pass-through entities when it comes to income taxes, you still have to pay payroll and other taxes. To pay federal taxes, you should have an Employer Identification Number (EIN). In fact, you need an EIN to pay taxes unless your LLC has only one member. Even then, you’d have to use your own social security number on your business’s tax return. That’s hardly ideal. 

There are other benefits to obtaining an EIN. Specifically, having an EIN allows you to get a business bank account and take out a business insurance policy.

6. Meet the Nebraska LLC publication requirement

To wrap up the LLC formation process, you’ll need to publish a notice of your organization. This is a unique requirement that isn’t found in many other states. To meet this requirement, you have to take out an advertisement in a legal newspaper. The newspaper must have a general circulation near your business’s location. You must run the ad for a minimum of three weeks. In addition, you need to submit Proof of Publication to the Secretary of State. Proof of Publication costs $30 to file in person and $25 to file online.
